A project begins when you approve a proposal. It sets the agreed scope, milestones and fees.
Work proceeds one milestone at a time.
You approve each milestone when satisfied it is complete. Raising a concern pauses automatic release while the concern is resolved.
Each milestone has its own payment, review and refund state.
Payment is taken through Stripe when you choose to fund a milestone.
Funds are held in our Stripe account, not in a separate third-party escrow account.
Funds release when you approve, or automatically seven days after delivery if you have not approved or raised a concern.
Prices exclude applicable taxes unless the proposal states otherwise.
You may request a full refund before approval. The milestone resets and related code access may be revoked. After approval, refunds are discretionary or required by law. Partial refunds may be agreed.
Payment release is the point at which milestone rights transfer.
When payment for a milestone is released, intellectual property rights in that milestone's deliverables are assigned to you.
Until a milestone is paid, its deliverables remain our property and access may be restricted.
We retain generic know-how, tools and non-client-specific components. You receive a perpetual licence for any such components embedded in your deliverables.
We provide services with reasonable skill and care and review deliverables before release. Software can contain errors, so this is a reasonable-efforts commitment rather than a guarantee that every issue will be found.
What we need from you and what both parties keep confidential.
Provide timely feedback, approvals, access and materials we reasonably need.
Confirm that you own or have the necessary rights to anything you ask us to use.
Keep your account credentials secure.
Each party keeps the other's non-public information confidential and uses it only to deliver the project.
Liability, stopping a project and the law governing these terms.
To the extent permitted by law, we are not liable for indirect or consequential loss. Our total liability is capped at the project fees paid in the 12 months before the claim. Nothing limits liability that cannot be limited by law.
Either party may stop a project between milestones. Unapproved, unfunded milestones are not started. Held but unapproved milestone funds remain refundable as described above.
We may update these terms and will notify you of material changes.
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
