Terms of Service
1. What we do
buildquarter is a software consultancy. We build software for clients in milestone-by-milestone buildrooms where you can watch progress, review work and pay per milestone. The proposal you approve sets the scope, milestones and fees.
2. Proposals and milestones
- A project begins when you approve a proposal.
- Work proceeds one milestone at a time.
- You approve each milestone when you are satisfied it is complete.
3. Payments
- Milestone payments are taken through Stripe when you fund a milestone.
- Funds are held in our Stripe account, not a separate third-party escrow account.
- Funds release to us when you approve the milestone, or automatically 7 days after delivery if you have not approved or raised a concern.
- Prices are quoted in GBP and exclude applicable taxes unless stated.
4. Refunds
- You may request a full refund of a milestone before you approve it. The milestone resets and related code access may be revoked.
- After approval, refunds are at our discretion or as required by law.
- We may issue partial refunds by agreement.
5. Code ownership and IP
- When payment for a milestone is released, intellectual property rights in that milestone's deliverables are assigned to you.
- Until a milestone is paid, deliverables for that milestone remain our property and access may be restricted.
- We may retain generic know-how, tools and non-client-specific components we reuse across projects, with a perpetual licence for any such components embedded in your deliverables.
6. Workmanship
- We provide services with reasonable skill and care.
- We review deliverables before release.
- Software can contain errors. This is a reasonable-efforts commitment, not a guarantee that every issue will be found.
7. Your responsibilities
- Provide timely feedback, approvals, access and materials we reasonably need.
- Confirm you own or have the rights to anything you ask us to use.
- Keep your account credentials secure.
8. Confidentiality
Each party keeps the other's non-public information confidential and uses it only to deliver the project.
9. Liability
- To the extent permitted by law, we are not liable for indirect or consequential loss.
- Our total liability is capped at the fees paid for the project in the 12 months before the claim.
- Nothing limits liability that cannot be limited by law.
10. Termination
Either party may stop a project between milestones. Unapproved, unfunded milestones are not started. Held but unapproved milestone funds are refundable as set out above.
11. Changes
We may update these terms. Material changes will be notified.
12. Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
